1. Acceptance of Terms

By accessing and using the Codyviaa website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Services Description

Codyviaa provides software development, web application development, SaaS solutions, IoT development, AI development, mobile application development, and related technology consulting services. The specific services to be provided will be detailed in a separate service agreement or statement of work.

3. Use License

Permission is granted to temporarily access the materials on Codyviaa's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose or for any public display
• Attempt to reverse engineer any software contained on the website
• Remove any copyright or other proprietary notations from the materials
• Transfer the materials to another person or "mirror" the materials on any other server

4. Service Agreements

All professional services provided by Codyviaa are subject to a separate written agreement that will specify:

• Scope of work and deliverables
• Project timeline and milestones
• Pricing and payment terms
• Intellectual property rights
• Warranties and limitations of liability
• Termination conditions

5. Intellectual Property Rights

5.1 Client-Owned Work

Upon full payment for services, all custom-developed code, designs, and deliverables created specifically for the client will be owned by the client, subject to any third-party licenses or pre-existing intellectual property.

5.2 Codyviaa Proprietary Materials

Codyviaa retains all rights to its proprietary frameworks, libraries, tools, methodologies, and general knowledge. Any pre-existing code, templates, or tools used in client projects remain the property of Codyviaa.

6. Payment Terms

Payment terms will be specified in the service agreement. Generally:

• Invoices are due within the timeframe specified in the agreement (typically 15-30 days)
• Late payments may incur interest charges as specified in the agreement
• We reserve the right to suspend services for overdue accounts
• All prices are exclusive of applicable taxes unless otherwise stated

7. Warranties and Disclaimers

Codyviaa warrants that services will be performed in a professional and workmanlike manner. However, we make no warranties, expressed or implied, regarding:

• The uninterrupted or error-free operation of delivered software
• The compatibility of software with all hardware or software configurations
• The achievement of specific business results or outcomes

Software is provided "as is" and "as available" without warranties of any kind, either express or implied.

8. Limitation of Liability

To the maximum extent permitted by law, Codyviaa shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use our services
• Any unauthorized access to or use of our servers or data
• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content

Our total liability shall not exceed the total amount paid by you to Codyviaa in the twelve (12) months preceding the claim.

9. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information shared during the course of the engagement. This includes business plans, technical specifications, source code, and any other sensitive information. Confidentiality obligations survive termination of the agreement.

10. Data Protection and Security

Codyviaa implements appropriate technical and organizational measures to protect client data. We comply with applicable data protection laws and will process personal data only as necessary to provide services and as instructed by the client.

11. Termination

Either party may terminate a service agreement:

• Upon written notice if the other party breaches a material term and fails to cure within 30 days
• Immediately if the other party becomes insolvent or files for bankruptcy
• As otherwise specified in the service agreement

Upon termination, all outstanding fees become immediately due, and each party shall return or destroy confidential information of the other party.

12. Indemnification

You agree to indemnify, defend, and hold harmless Codyviaa, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of our services, violation of these terms, or infringement of any rights of another.

13. Third-Party Services and Content

Our services may integrate with or link to third-party services, APIs, or content. We are not responsible for the availability, accuracy, or practices of third-party services. Your use of third-party services is subject to their respective terms and conditions.

14. Modifications to Services

We reserve the right to modify, suspend, or discontinue any part of our services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of services.

15. Governing Law and Dispute Resolution

These terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these terms or our services shall be resolved through good faith negotiation. If negotiation fails, disputes may be resolved through binding arbitration or in courts of competent jurisdiction, as specified in the service agreement.

16. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of material changes by posting the updated terms on this page and updating the "Last Updated" date. Your continued use of our services after changes become effective constitutes acceptance of the modified terms.

17. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These terms, together with any service agreements, constitute the entire agreement between you and Codyviaa regarding the use of our services and supersede all prior agreements and understandings.
